Terms of Use

The terms that apply when you use clepto.in. Client projects are governed by a separate Master Service Agreement, Statement of Work and our Data Processing Addendum.

The website located at clepto.in (the "Site") is owned and operated by Clepto.in ("Clepto.in," "Clepto," "Company," "us," "our," or "we"), located in Indore, Madhya Pradesh, India. Certain features of the Site may be subject to additional guidelines, terms, or rules posted on the Site, which are incorporated by reference into these Terms.

These Website Terms of Use ("Terms") govern your access to and use of the Site. By accessing or using the Site, or by clicking "I agree" (or a similar button or consent checkbox) when that option is presented to you, you agree to these Terms on behalf of yourself or the entity you represent, and you confirm that you have the legal authority to do so. You must be at least 18 years old to use the Site. If you do not agree to these Terms, please do not use the Site.

Relationship to Client Service Agreements: These Terms govern your use of our public website (clepto.in) and its interactive features. If you or your organization engage Clepto.in to design, build, deploy, or manage custom AI automation systems, n8n workflows, custom CRMs, websites, applications, voice/messaging agents, dashboards, or document intelligence solutions, those services and deliverables are governed by a separate Master Service Agreement ("MSA"), each project's Statement of Work ("SOW"), and our Data Processing Addendum (DPA). In the event of any conflict between these Terms and an executed Master Service Agreement, Statement of Work, or DPA, the executed agreement shall prevail with respect to those contracted services.
Important — please read Section 11 carefully. It contains an agreement to resolve disputes through binding individual arbitration seated in Indore, Madhya Pradesh, India instead of in court (following an informal resolution period), and includes a waiver of class action rights and jury trial rights where applicable. You have 30 days to opt out of the arbitration agreement, as further described in Section 11.10.

1. Accounts

1.1 Creating an Account

Some features of the Site (such as client dashboards, project portals, or interactive demos) may require you to register for an account or receive login credentials. When you register or use an account, you agree to provide accurate and complete information and to keep that information current. You may request deletion of your account at any time by contacting us at contact@clepto.in or privacy@clepto.in. We may suspend or terminate your account as described in Section 8.

1.2 Account Security

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. If you believe your account has been accessed without your authorization, please notify us immediately at contact@clepto.in or privacy@clepto.in. We are not liable for any losses resulting from your failure to keep your credentials secure.

2. Access to the Site

2.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own personal or internal business evaluation purposes (including evaluating Clepto.in's AI automation services).

2.2 Restrictions

You may not:

  • (i) license, sell, rent, lease, transfer, assign, distribute, or commercially exploit the Site or any content on it (except as expressly delivered to you under a signed Master Service Agreement and Statement of Work);
  • (ii) modify, create derivative works from, disassemble, reverse-compile, or reverse-engineer any part of the Site, its source code, or its underlying AI workflows;
  • (iii) access or scrape the Site in order to build a similar or competing product or service, or to harvest data for AI model training without our prior written consent;
  • (iv) bypass, probe, or attempt to circumvent any security, rate-limiting, or access-control measures on the Site (including Cloudflare WAF and bot-protection controls); or
  • (v) copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Site except as expressly permitted by these Terms.

All copyright and proprietary notices on the Site must be kept intact on any copies you are permitted to make.

2.3 Changes to the Site

We may modify, update, suspend, or discontinue the Site (or any part or feature of it) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Site.

2.4 No Support Obligation

Except as separately agreed in a signed Master Service Agreement or Statement of Work, we have no obligation to provide you with technical support, maintenance, or uptime guarantees for the public Site.

2.5 Ownership

All intellectual property rights in the Site and its content—including copyrights, patents, trademarks, service marks, trade secrets, visual designs, articles, case studies, and demonstration workflows—belong to Clepto.in or its licensors and suppliers. These Terms do not transfer any ownership rights to you, except for the limited access rights in Section 2.1 (and without prejudice to any ownership transfer of custom project deliverables expressly agreed in a Master Service Agreement and Statement of Work). All rights not expressly granted are reserved.

2.6 Feedback

If you share voluntary feedback, ideas, or suggestions about the public Site with us, you grant us a perpetual, irrevocable, worldwide, non-exclusive, fully-paid, royalty-free license to use that feedback freely, in any manner and for any purpose, without attribution or compensation. Please do not submit any information through public Site forms that you consider proprietary or confidential unless covered by a signed Mutual Non-Disclosure Agreement or Master Service Agreement.

2.7 AI Chatbot and Automated Features on the Site

The Site may include interactive AI-powered chat, voice, or workflow demonstration features (powered by n8n and commercial AI/voice models such as OpenAI, Anthropic, Google Gemini, Mistral, Perplexity, Retell, ElevenLabs, and WATI). Outputs generated by our AI assistant are provided for general informational purposes only, may occasionally be inaccurate or incomplete, and do not constitute binding commercial quotes, contractual commitments, or legal, financial, or professional advice. Any binding project scope, pricing, or deliverable commitment must be set out in a written Statement of Work signed by an authorized signatory of Clepto.in.

3. Privacy and Data Protection

Your use of the Site is also governed by our Privacy Policy, which is available at clepto.in/privacy and is incorporated into these Terms by reference. The Privacy Policy describes the types of personal data and other information we collect from you or your device, how we use that information, and the circumstances under which we may share it with service providers and third parties.

3.1 Processing of Personal Data

By using the Site, you acknowledge that you have read and understand our Privacy Policy and that Clepto.in will process your personal data and other information in accordance with the Privacy Policy. If there is a conflict between these Terms and the Privacy Policy with respect to the collection, use, or processing of your personal data as a Site visitor, the Privacy Policy will control (and where we process personal data on behalf of a business client under a Master Service Agreement and Statement of Work, our Data Processing Addendum will control).

3.2 Cookies and Tracking Technologies

The Site uses strictly necessary cookies and, where permitted by your preferences, analytics technologies ("Tracking Technologies") to operate and secure the Site and understand aggregate traffic patterns. For details on what Tracking Technologies the Site uses, what information they collect, and how you can manage your preferences, please refer to our Cookies Policy and Privacy Policy.

4. Indemnification

You agree to defend, indemnify, and hold harmless Clepto.in and its principals, employees, contractors, and agents from and against any third-party claims, liabilities, damages, losses, and reasonable costs or attorneys' fees arising out of or related to:

  • (i) your misuse of the Site;
  • (ii) your violation of these Terms; or
  • (iii) your violation of any applicable law, regulation, or third-party right.

We reserve the right to assume control of the defense of any such claim at your expense, and you agree to reasonably cooperate with our defense. You agree not to settle any such claim in a manner that imposes any obligation or admission of liability on Clepto.in without our prior written consent. We will make reasonable efforts to notify you promptly of any claim we become aware of.

5. Third-Party Services & Other Users

5.1 Third-Party Services

The Site may include links to or integrations with third-party websites, platforms, or services (such as scheduling tools, social media platforms, or third-party AI documentation, collectively "Third-Party Services"). We do not control, endorse, or take responsibility for any Third-Party Services. You use all Third-Party Services at your own risk, and you acknowledge and agree that the applicable third party's own terms and privacy policies will apply to such use. (Note: Third-party tools set up in a client's own account for a project are governed by that third party's terms and are not Clepto's subprocessors, as further described on our Subprocessors page.)

5.2 Other Users

Your interactions with any other users of the Site or third parties are solely between you and those parties. We are not responsible for any loss or harm resulting from those interactions, and we reserve the right, but have no obligation, to become involved in disputes between users.

5.3 Release

To the fullest extent permitted by applicable law, you release Clepto.in and its principals, employees, contractors, agents, successors, and assigns from all claims, demands, and damages of any kind arising out of or related to disputes between you and other users or your independent use of Third-Party Services. If you are a California resident, you waive California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

6. Disclaimers

THE SITE AND ALL INFORMATION, CONTENT, AND AI DEMONSTRATION FEATURES ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLEPTO.IN AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE OF VIRUSES OR HARMFUL CODE, OR THAT ANY AI CHATBOT OUTPUT WILL BE ACCURATE OR COMPLETE. WHERE APPLICABLE LAW REQUIRES IMPLIED WARRANTIES THAT CANNOT BE DISCLAIMED, SUCH WARRANTIES ARE LIMITED TO NINETY (90) DAYS FROM YOUR FIRST USE OF THE SITE (OR THE SHORTEST PERIOD PERMITTED BY LAW).

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • (A) CLEPTO.IN AND ITS SUPPLIERS AND SUBPROCESSORS WILL NOT BE LIABLE FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, COSTS OF SUBSTITUTE SERVICES, OR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND
  • (B) OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE IS CAPPED AT THE GREATER OF: (i) FIFTY U.S. DOLLARS ($50 USD) (OR ITS EQUIVALENT IN INDIAN RUPEES); AND (ii) THE AMOUNT PAID BY YOU TO CLEPTO.IN SPECIFICALLY FOR ACCESS TO THE PUBLIC SITE IN THE SIX (6) MONTHS PRIOR TO THE INCIDENT GIVING RISE TO THE CLAIM. THE EXISTENCE OF MULTIPLE CLAIMS DOES NOT INCREASE THIS CAP.

(Note: Liability for contracted professional services under an executed Master Service Agreement and Statement of Work is governed by the limitation of liability provisions set forth in that Master Service Agreement.)

8. Term and Termination

These Terms remain in effect while you access or use the Site. We may suspend, restrict, or terminate your access to the Site (including suspending or deleting any Site account) at any time and for any reason, including if we reasonably believe you have violated these Terms or engaged in abusive or unlawful activity. We are not liable to you for any such suspension or termination. Upon termination, Sections 2.2 through 2.7 and Sections 3 through 11 will survive.

The provisions in this Section 9 apply only to users to the extent such users are subject to the laws of the jurisdictions identified below. If a provision in this Section 9 conflicts with another provision of these Terms, the jurisdiction-specific provision controls for users subject to that law.

10. General

10.1 Changes to Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last Revised" date at the top of these Terms and post a prominent notice on the Site (or notify you by email if we have your address on file). Your continued use of the Site after the effective date of any changes means you accept the updated Terms.

10.2 Governing Law and Exclusive Venue

These Terms and any dispute or claim arising out of or related to these Terms or the Site will be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles. For any claim or dispute not subject to the arbitration provisions in Section 11 (or where a party seeks court intervention in aid of arbitration or following a valid opt-out), you and Clepto.in irrevocably consent to the exclusive jurisdiction and venue of the competent courts located at Indore, Madhya Pradesh, India (except where EU Restricted Transfers under our Data Processing Addendum are governed by the laws and courts of Ireland). Notwithstanding the foregoing, either party may bring an action in any court of competent jurisdiction for injunctive or other equitable relief to protect its intellectual property rights or confidential information.

10.3 Export Control

You agree not to export, re-export, or transfer any technical data, software, or services acquired from the Site in violation of applicable Indian, European Union, United Kingdom, United States, or other applicable export control and trade sanction laws or regulations.

10.4 Electronic Communications

By using the Site or contacting us electronically, you consent to receiving communications from us electronically (by email or via notices posted on the Site). You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

10.5 Accessibility

Clepto.in is committed to making the Site accessible to all users, including individuals with disabilities. We endeavor to conform to the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA, as published by the World Wide Web Consortium (W3C). If you experience any difficulty accessing or navigating the Site, or if you have suggestions for improving accessibility, please contact us at contact@clepto.in or +91-8383898958. We will make reasonable efforts to address accessibility concerns promptly.

10.6 Entire Agreement, Severability, and Assignment

These Terms (together with the Privacy Policy, Cookies Policy, and, where applicable to business clients, the Master Service Agreement, Statement of Work, and Data Processing Addendum) constitute the entire agreement between you and Clepto.in regarding your use of the Site. If any provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary to be valid and enforceable, and the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver of that provision. The word "including" means "including without limitation." You may not assign or transfer these Terms without our prior written consent; we may assign them freely in connection with a business transfer or restructuring. These Terms bind any permitted assignees.

10.7 Copyright and Trademarks

10.8 Contact Information

11. Dispute Resolution and Binding Arbitration

Please read this Section 11 carefully. It affects your legal rights, including your right to file a lawsuit in court.

11.1 Applicability

Except as described below, you and Clepto.in agree to resolve all disputes, controversies, or claims arising out of or relating to the Site, its content or features, or these Terms (including their formation, interpretation, breach, termination, or validity) through binding individual arbitration — not in court. Exceptions include:

  • (i) claims that qualify for small claims or summary civil remedies on an individual basis in a court of competent jurisdiction at Indore, Madhya Pradesh, India;
  • (ii) requests for temporary, preliminary, or permanent injunctive or equitable relief to protect intellectual property rights (such as trademarks, copyrights, or trade secrets) or prevent unauthorized disclosure of confidential information; and
  • (iii) statutory data protection complaints lodged with a competent Supervisory Authority (such as the Data Protection Board of India or an EU/UK Data Protection Authority).

11.2 Informal Resolution First (45/60-Day Notice Period)

Before initiating arbitration, the parties agree to attempt in good faith to resolve the dispute informally. The party raising the dispute must send a written notice (an "Informal Notice") to the other party describing the claim and requested resolution.

  • Notice to Clepto.in: Send your Informal Notice by email to contact@clepto.in (with a copy to privacy@clepto.in if privacy-related), Location: Indore, Madhya Pradesh, India.
  • Within forty-five (45) days of receiving the Informal Notice, the parties agree to confer by phone or video conference in good faith to attempt to resolve the matter. If the informal resolution process does not resolve the dispute within sixty (60) days after receipt of the Informal Notice, either party may initiate arbitration.

11.3 Arbitration Rules, Seat, and Language

Any arbitration not resolved informally shall be conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996 (India) (as amended from time to time) by a sole arbitrator mutually appointed by the parties (or, failing agreement within 30 days, appointed in accordance with the Arbitration and Conciliation Act, 1996).

  • Seat and Venue of Arbitration: The legal seat and venue of arbitration shall be Indore, Madhya Pradesh, India ( hearings may be conducted via video conference by mutual agreement or at the arbitrator's discretion).
  • Language: All arbitration proceedings, submissions, and awards shall be conducted in the English language.
  • Confidentiality: All arbitration proceedings, pleadings, documents, and awards shall be kept strictly confidential, except as necessary to enforce an award or as required by applicable law.

11.4 Contents of Arbitration Notice

A demand or notice for arbitration must include: (i) your name, contact information, and organization name (if applicable); (ii) a clear description of the claims and supporting facts; (iii) the specific relief sought and a good-faith calculation of any claimed damages; and (iv) confirmation that you completed the 60-day informal resolution process in Section 11.2.

11.5 Authority of Arbitrator

The sole arbitrator has authority to resolve all arbitrable disputes, including questions regarding the scope, interpretation, and enforceability of this arbitration agreement — except that the competent courts at Indore, Madhya Pradesh, India (not the arbitrator) will have exclusive authority to decide: (i) challenges to the Class Action Waiver in Section 11.7; (ii) whether a condition precedent to arbitration (such as the Informal Notice process) has been satisfied; and (iii) applications for interim court relief under Section 9 of the Arbitration and Conciliation Act, 1996. The arbitrator may award the same individualized relief as a court under applicable law. The arbitrator's award shall be in writing, state the reasons for the award, and be final and binding on the parties.

11.6 Waiver of Jury Trial

TO THE EXTENT APPLICABLE UNDER ANY JURISDICTION'S LAWS, BY AGREEING TO ARBITRATION, YOU AND CLEPTO.IN WAIVE ANY RIGHT TO A TRIAL BY JURY FOR ALL COVERED CLAIMS.

11.7 Waiver of Class and Representative Actions

ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. NEITHER YOU NOR CLEPTO.IN MAY BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may award relief only on an individual basis and only to the extent necessary to redress your individual claim. If a court of competent jurisdiction finds this Class Action Waiver unenforceable as to a specific claim, then that specific claim must be severed and litigated exclusively in the competent courts at Indore, Madhya Pradesh, India, while all other claims remain subject to individual arbitration.

11.8 Costs and Attorneys' Fees

Each party shall bear its own attorneys' fees and share administrative/arbitrator fees equally during the proceeding, subject to the arbitrator's discretion in the final award to allocate reasonable costs and fees in accordance with Section 31A of the Arbitration and Conciliation Act, 1996 (including where a claim or defense is found to be frivolous or brought in bad faith).

11.9 Coordinated or Batch Filings

If twenty-five (25) or more substantially similar arbitration demands are filed against Clepto.in within a 60-day period by or with the assistance of the same law firm or coordinated group, the parties agree that the demands shall be administered in coordinated batches of up to 25 demands per batch before a single arbitrator appointed for that batch, to ensure efficient and cost-effective resolution.

11.10 30-Day Right to Opt Out

You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending a written opt-out notice by email to contact@clepto.in (Subject Line: "Arbitration Opt-Out Notice"), Location: Indore, Madhya Pradesh, India. Your notice must include your full name, company name (if applicable), email address, and a clear statement that you wish to opt out of the arbitration clause in these Terms. If you opt out of arbitration, the exclusive governing law and court jurisdiction in Indore, Madhya Pradesh, India set forth in Section 10.2 will still apply to you. Opting out of this arbitration agreement does not affect any other provision of these Terms.

11.11 Severability

If any portion of this Section 11 is found to be invalid or unenforceable, that portion will be modified to the minimum extent necessary to make it enforceable (or severed if modification is not possible), and the remainder of this Section 11 will remain in full force and effect.
